1. Definitions and Interpretation

1.1 “Seller” means Fire Doors Rite Solutions, trading as Fire Doors Rite Solutions, registered in England and Wales under company registration number 14276439, whose registered office is 2 Endeavour House, Parkway Court, Longbridge Road, Plymouth, Devon, PL6 8LR.

1.2 “Buyer” means the business customer purchasing the Goods.

1.3 “Goods” means all passive fire protection products, systems, inventions, or materials supplied by the Seller.

1.4 “Contract” means the contract between the Seller and Buyer for the sale of the Goods in accordance with these Terms and Conditions.

2. Application of Terms

2.1 These Terms and Conditions apply to all sales of Goods by the Seller to the exclusion of any other terms the Buyer seeks to impose.

2.2 No variation shall be effective unless agreed in writing by the Seller.

3. Quotations and Orders

3.1 All quotations are nonbinding and valid for 28 days unless otherwise stated.

3.2 A contract is formed only when the Seller issues written acceptance or dispatches the Goods.

4. Price

4.1 Prices are exclusive of VAT, delivery, packaging, and any applicable taxes or duties.

4.2 Prices may be adjusted prior to acceptance if material costs, compliance requirements, or regulatory standards change.

5. Payment Terms

5.1 First Purchases: Payment is due in full on receipt of order.

5.2 Subsequent Purchases: Once a credit account is approved, payment shall be due within 30 days from the invoice date.

5.3 The Seller reserves the right to withdraw or amend credit terms at any time.

6. Late Payment

6.1 Overdue sums shall accrue interest at 8% above the Bank of England base rate, calculated daily from the due date until payment is made in full.

6.2 The Seller may also recover reasonable debt recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998.

7. Delivery

7.1 Delivery dates are estimates only and time shall not be of the essence.

7.2 Risk passes to the Buyer upon delivery.

8. Title

8.1 Title to the Goods remains with the Seller until full payment is received.

8.2 The Seller may recover unpaid Goods where payment is overdue.

9. Product Use and Compliance

9.1 The Buyer is responsible for ensuring the Goods are suitable for their intended use and installed strictly in accordance with Seller instructions and all applicable UK fire safety legislation and standards.

9.2 Any technical advice provided does not constitute design responsibility.

10. Intellectual Property

10.1 All inventions, designs, test data, drawings, and documentation relating to the Goods remain the exclusive intellectual property of Fire Doors Rite Solutions.

10.2 No rights or licences are granted except as necessary for proper use of the Goods.

11. Warranty and Liability

11.1 Goods are warranted to be free from defects in materials and workmanship for [12] months from delivery unless otherwise agreed.

11.2 Liability is limited to repair, replacement, or refund of defective Goods at the Seller’s discretion.

11.3 The Seller shall not be liable for indirect, consequential, or economic losses, including loss of profit or business.

12. Force Majeure

The Seller shall not be liable for failure or delay caused by events beyond its reasonable control.

13. Termination

The Seller may suspend deliveries or terminate the Contract if the Buyer fails to pay sums due or becomes insolvent.

14. Governing Law and Jurisdiction

14.1 These Terms and Conditions are governed by English law.

14.2 The courts of England and Wales shall have exclusive jurisdiction.
